Winning the Lawsuit on Managerial Dispute (Confirmation on Shareholder Right and Register)

From a corporation operating a blockchain business, Cha & Kwon Law Offices received and won two lawsuits on managerial disputes such as confirmation on shareholder right and its registration.

A managerial dispute was in progress between the executives and the emergency planning committee. The plaintiffs on the other side were the shareholders of the client’s subsidiary company (hereinafter “company B”) but claimed to be shareholders of the client corporation (the holding company, hereinafter “company A”) and requested the ‘transfer of the holder.’ Their arguments were based on the board’s resolutions, declaration of will of the de facto representatives, and the investment payment routes.

Cha & Kwon Law Offices turned down their appeal by claiming that i) the plaintiffs’ lawsuit to confirm shareholder rights had no benefit of confirmation ii) the plaintiffs are shareholders of the company B, which is a subsidiary company iii) the stocks of company A that B possess is the subsidiary company acquiring the holding company’s stocks, so as long as it is not considered a permitted exception, it is invalid.
